The Metinvest group, owned by the Ukrainian businessman Rinat Akhmetov, gained full control over the company Ilyich-Stal. This is stated in a statement by the company published in the system of disclosure of the National Commission for Securities and the Stock Market.
It is reported that the increase in the share of Metinvest in PEO Ilyich -Stal, which controls the activities of one of the largest Ukrainian manufacturers of the metal distribution - the Mariupol Metallurgical Plant named after Ilyich, from 87.26% to 100% occurred as a result of a decrease in the size of the authorized capital of the company.
PEO “Ilyich-Stal” reduced the size of the authorized capital by 12.732%, or by 122 million 705.005 thousand hryvnias-up to 841 million 14.545 thousand hryvnias by canceled previously purchased shares of the existing face value of 1 hryvnia: this decision was made at an extraordinary general meeting of shareholders on January 27, 2012.
During the general meeting of shareholders, the authorized capital was 963 million 719.550 thousand hryvnias, which was divided into 963 million 719.550 thousand pieces of simple registered shares with a face value of 1 hryvnia. On the same date, the company bought 122 million 705.005 thousand units.
For the decision to cancel the purchased shares and reduce the authorized capital, the owners of 100% of the voting shares voted: the representative of Metinvest B.V. (at that time I owned 87.2676% of the authorized capital Ilyich-Stal) and the chairman of the board of Ilyich-Stal Vladimir Boyko (owned 90 pieces of shares-0.00000% of the authorized capital).
