Japanese steel company Kobe Steel announced that it has signed a share swap agreement with its consolidated subsidiary Kobelco Wire Company, Ltd., under which the latter will become a wholly owned subsidiary.
The share swap will be effective September 1, 2026 and will be approved at Kobelco Wire's annual shareholders meeting on June 26. Kobelco Wire is expected to be delisted from the Tokyo Stock Exchange Standard Market in August on August 28, with its last trading day scheduled for August 27.
Under the agreement, Kobe Steel will allot 0.94 shares of its common stock for each share of Kobelco Wire. Kobe Steel currently holds a 43.48% stake in Kobelco Wire.
Kobe Steel said the move is aimed at strengthening group-wide collaboration, expanding Kobelco Wire's overseas strategy, expanding into new business areas by combining Kobe Steel's materials expertise with Kobelco Wire's processing technologies, and positioning Kobelco Wire as a key recycler within the Kobelco group.
Kobe Steel said that since Kobelco Wire is already a consolidated subsidiary and the impact of the transaction on its financial results is expected to be limited.
