Mechel announces the decision of the board of directors

The Board of Directors of OJSC Mechel held a meeting on April 19, 2013. OJSC Mechel, one of the leading and metallurgical company leading in Russia, announced resolutions of the board of directors of OJSC Mechel. At the meeting, the following decisions were made:

1. Call the general annual meeting of shareholders of OJSC Mechel on June 28, 2013. The general meeting of shareholders will be held at the address: Krasnoarmeyskaya St., Moscow, Russia.

2. Approve the next agenda of the general meeting of shareholders: 1) approval of the annual report. 2) approval of the annual financial statements of the company. 3) the distribution of the profit of the company, including the payment of dividends based on the results of the financial year. 4) the election of members of the board of directors of the company. 5) the election of members of the audit commission of the company. 6) on the approval of the auditor of the company. 7) approval of the charter in the new edition of the company. 8) on the approval of the Regulation on the revision of compensation for expenses related to the functioning of members of the board of directors.

3. Drawing up a list of shareholders entitled to participate in the annual general meeting on the basis of data in the register of shareholders as of May 17, 2013. The Board of Directors determined the procedure for notifying shareholders. The text of this statement, a list of information materials that will be proposed to shareholders in preparation for the annual general meeting of shareholders, and the procedure for providing such materials.
